Terms of Site Use

These terms tell you the rules for using the Alliance Healthcare and OTC Direct customer portals, and the tools which you can access through them, including the Alliance Healthcare Customer Onboarding Site, Alliance Healthcare Portal, Alliance Direct, Missings, Returns, MyAlliancePro, Cencora Reach and the NWOS ordering site.

By using our sites, you accept these terms of use and agree to comply with them. If you do not agree to these terms, you must not use our sites. 

You are also responsible for ensuring that all persons who access our sites through your internet  connection are made aware of these terms of use and other applicable terms and conditions, and that they comply with them.

We recommend that you print a copy of these terms for future reference.

There are other terms that may apply to you

Please take the time to familiarise yourself with our Privacy Statement and our Cookies Notice. Any personal data which you submit to us through our sites will be handled in accordance with our Privacy Statement. Any purchases which you make through our sites will be subject to the applicable Terms and Conditions of Sale.

There may be other terms which apply to your use of restricted access parts of our sites. You will be required to acknowledge these when you sign up for or use those parts of our sites.

We may make changes to these terms

We amend these terms from time to time. Every time you wish to use one of our sites, you should  check the terms of use to ensure that you understand the terms which apply at that time.

We may make changes to our sites

We reserve the right to change, delete or move any of the material on our sites and make other changes to our sites from time to time without informing you first.

We may suspend or withdraw our sites

Our sites are made available free of charge. 

We cannot guarantee that our sites, or any content on them, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability for all or any part of our sites for business and operational reasons. Where access will be restricted or suspended due to  planned maintenance of a feature which requires you to log-in to our website, we will try to give you advance notice of this (which may be in the form of a notice on our sites).

Our sites are only for users in the United Kingdom and certain other 
territories

Our sites are intended for use by people or businesses residing in the United Kingdom, the Channel Islands, Gibraltar and the Isle of Man. Unless the relevant page says otherwise, you should not assume that any product referred to in the materials on our sites is appropriate for use, or is available, in other locations. 

If you choose to access our sites from a location outside of the United Kingdom or one of the territories mentioned above, you are responsible for complying with relevant local laws and for checking that that products referred to in the materials on our sites are appropriate for use or are available in your location.

You must keep your account details safe

We may make certain parts of our sites available to you with restricted access. You may require your own account and login credentials to access our sites. We may provide you or your Representatives with login credentials and/or prescribe security procedures (“Login Details”) relating to the use or access to your account. If your Login Details are issued to your business (and not specific to a particular individual), you must only share them with Representatives and you must ensure that they know that they must keep the login credentials confidential.

You agree that:

 
(a) you will not, nor will you permit any other person to, remove, modify, exchange, disable, 
penetrate or otherwise defeat any such Login Details;

(b) you will take all necessary actions to 
preserve the confidentiality of such Login Details issued to you and/or a Representative;

(c) you 
will restrict access to the Login Details to those persons who are authorised to have access on your behalf;

(d) you are responsible for ensuring that all information contained in a request for Login Details is complete and correct;

(e) you are responsible for all acts or omissions that occur under your Login Details.

You must immediately change your password in the event that you learn that: (i) your Login Details are lost, stolen or improperly disclosed to a third party; (ii) the authority or employment of a Representative provided with Login Details has been or is about to be terminated; (iv) you learn about a possible or actual unauthorised access to and/or use of our sites or your Login Details ; or (v) any regulatory licence other authorisation required for your access and use of the services 
provided in the site that you are accessing is suspended. For the purposes of these terms,“Representative” means any and all of your officers, directors, employees, sub-contractors and/or consultants to your business.

We have the right to disable your login credentials (whether chosen by you or allocated by us) if at any time we believe that you have failed to comply with any provision of these terms of use or any other terms which apply to your use of our sites.

If you know or suspect that your Login Details have been compromised, you must immediately change your password and promptly notify us at the relevant email address below:

How you may use material on our sites

Unless we state otherwise, we or one of our affiliated companies is the owner or controls or has a licence to use the intellectual property rights in our sites and all materials on them, including the trade marks, copyright, design, text, graphics, photographs and content featured. Those works are protected by copyright and other intellectual property right laws and treaties around the world. We and our affiliated companies (as applicable) each assert all rights over their respective intellectual property and all our rights are reserved.

You may print off one copy and download extracts of any page(s) from our sites for your own use and you may draw the attention of others within your organisation to content posted on our sites. If you are using our sites in the course of a business, this means that you may not exploit our sites or the material on it for commercial purposes without first obtaining a licence to do so from us or our licensors. 

You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not download or copy extracts containing any illustrations, photographs, video or audio sequences or any graphics unless you also download or copy the accompanying text. 

You must also ensure that any copies also contain any relevant copyright and ownership notices and disclaimers which we have included on or in relation to those materials, or have set out in these terms. 

If you print off, copy or download any part of our sites in breach of these terms of use, your right to use our sites will end immediately and you must (as we specify) either return or destroy any copies of the materials you have made.

Except as set out in this section, nothing in these terms creates or is intended to create or imply any licence or right under any copyright material.

We take care about information on our sites, but it may not be up to date

We take reasonable care to ensure that information contained on our sites is accurate and up-todate when first posted but do not guarantee that it is kept up to date or correct.

We do not make any promise (whether express or implied) that the information on our sites (including information 
about goods and services) is accurate, complete, or up to date.

We are not responsible for other websites which you link through to

Certain hypertext links in our sites will lead to other sites which are not under our control. When you click on any of these you will leave the relevant site and land on another organisation’s site. 
We have no control over other organisations’ sites and therefore:

• we do not accept any responsibility or liability in relation to the material on other organisations’ 
  sites which you can link to from our sites. 
• links to other organisations’ sites should not be interpreted as approval by us of those linked 
  sites or information you may obtain from them.

Our responsibility for loss or damage suffered by you

Please read this provision carefully as it limits our liability to you. 

These terms apply to all users:

We do not accept liability (other than liability which cannot by lawfully excluded) for any loss arising directly or indirectly from your or anyone else’s use of or reliance on our sites or information it contains, or your inability to use our sites, even if caused by negligence.

However, we do not exclude or limit in any way our liability to you where it would be unlawful to do so. In particular, we do not exclude liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors, and liability for fraud or fraudulent misrepresentation.

These terms apply to you if you are using our sites in the course of a business:

We exclude all implied conditions, warranties, representations or other terms that may apply to our sites or any content on them.

We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

• use of or reliance on any content displayed on our site.

In particular, we will not be liable for:

• loss of profits, sales, business, or revenue;
• business interruption;
• loss of anticipated savings;
• loss of business opportunity, goodwill or reputation; or

Material you share with us through our sites

If you contact us about the content of our sites with feedback or questions, comments or suggestions, we will treat the information you share with us as being non-confidential and you agree that we can reproduce, use, disclose and distribute the information you share with us with others without any restriction. (NB. We will always comply with applicable data protection laws). We will be free to use any ideas, concepts, know-how or techniques contained in such information for any purpose we feel appropriate including, but not limited to, developing, making and marketing products or services incorporating such information.

You must ensure that all information you submit to us through our sites is accurate.

We are not responsible for viruses and you must not introduce them

We do not guarantee that our sites will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programmes and platform to access our sites. You should use your own virus protection software.

You must not misuse our sites by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our sites, the server on which our sites is stored or any server, computer or database connected to our sites. You must not attack our sites via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our sites will cease immediately.

Rules about linking to our sites

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

You must not establish a link to our sites in any site that is not owned by you.

Our sites must not be framed on any other site, nor may you create a link to any part of our sitesother than the home page without our written permission.

We reserve the right to withdraw linking permission without notice.

Which country’s laws apply to any disputes?

If you are a consumer, these terms of use, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

If you are using this website in the course of a business, these terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

You need specific permission to use our trademarks or trade names.

• Nothing contained in these terms is intended to create or imply any licence or right under any patent or trademark of ours or any third party. You do not have any right to use them unless we give you specific permission to do so.
• All brand names, products and service names and titles used on our sites are trademarks and trade names of their respective owners (which may be us and/or our affiliates). We claim no ownership of, nor any affiliation with, any third-party trademarks appearing in our sites. We use third-party trademarks only to identify the products and services of their respective owners, and you should not infer that we sponsor or endorse those products or services.

We do not provide financial advice
